Simac underlines the importance of sound corporate governance, in which management acts with transparency and integrity.

Simac Techniek is a two-tier company with a management board and an independent supervisory board.

The management board deals with the management of the company and its strategy, as well as the deployment of resources and people. The management board consults regularly with the supervisory board. In accordance with the relevant regulations in force, important decisions are submitted for approval to the supervisory board and/or the Annual General Meeting of shareholders.

The supervisory board supervises the management board’s policy and the general affairs of the company, and advises the management board. The supervisory board is concerned with the company’s interests. Supervisory board members are appointed by the shareholders’ AGM, on the recommendation of the supervisory board.

Simac applies and complies with virtually all of the best-practice provisions of the Dutch corporate governance code. With regard to a number of best-practice provisions, Simac has made an adjustment and/or Simac applies the provision only partially or not at all.
